本會分別於9、11月,以「工程定型化契約」為主題推出系列研習活動。9月27日邀請政治大學法學院兼任特聘教授楊淑文教授,談「工程定型化契約之爭議-通論」。
楊教授指出,公共工程之發包適用政府採購法,相關招標文件由機關事先擬定,亦有工程採購契約範本可供參考;私人之營建契約,通常也使用由業主事先委由顧問單位提出之契約文件,與營造商訂立契約。因此,不論公共工程契約,或私人營建契約,該等定型化契約條款雖適用民法第247-1條之無效規定,但該條對於定型化契約之訂入、解釋、異常條款、個別磋商條款等一般性定型化契約條款的問題,卻無明文,而可否類推適用消保法相關規定,亦有疑慮。
CAA launches a series of study activities in September and November, which focused on the theme of "Standardized Engineering Contracts." On September 27, CAA invited Professor Shu-Wen Yang, a distinguished adjunct professor at the College of Law, National Chengchi University, to discuss "The Controversies of Standardized Engineering Contracts - A General Overview."
Professor Yang pointed out that the bidding for public works is subject to the Government Procurement Act, and the relevant bidding documents are prepared in advance by the agencies. There are also model contracts for engineering procurement available for reference. For private construction contracts, it is common for the owner to commission a consulting firm to draft the contract documents, which are then signed with the contractor. Therefore, whether in public works contracts or private construction contracts, although these standardized contract terms are subject to the invalidity provisions of Article 247-1 of the Civil Code, this article fails to explicitly address or pinpoint issues related to the inclusion, interpretation, abnormal clauses, or individual negotiation clauses of standardized contracts. Moreover, there are also concerns about whether the relevant provisions of the Consumer Protection Act can be applied by analogy to these cases.
