本會吳永乾理事長於本(112)年5月2日上午,偕劉連煜教授、陳峰富監事等人前往拜會中華民國期貨業商業同業公會(下稱「期貨公會」)陳佩君理事長,說明利用仲裁機制解決期貨交易爭議的益處。

本會吳理事長表示,金融相關的爭議因涉及專業知識,且宜盡速解決以降低當事人財物損失,適合選擇仲裁作為紛爭解決機制。目前,多數國內期貨業者與投資人簽訂的期貨交易受託契約範本中,並未放入仲裁條款,或是對於契約雙方是否有仲裁合意尚不明確。吳理事長建議可由期貨公會方面,主動提供仲裁示範條款供會員參考,並強調本會為國內唯一綜合性仲裁機構,且歷史悠久、體制完備,適合當事人選定為紛爭解決機構。

期貨公會陳理事長肯認仲裁的優點,並表示因政府政策方向及法律規定,目前多數期貨交易爭議都在金融消費評議中心解決,因此期貨業者對於仲裁機制較為陌生,希望有機會能邀請本會向期貨公會會員介紹仲裁。先讓業者的法務、法遵人員認識仲裁,才有機會將仲裁條款落實於契約中。

陳峰富監事表示我國仲裁機制受到司法嚴格監督、值得信賴,且本會仲裁人數量多、涵蓋各專業領域,相較法院更適合處理期貨交易爭議。陳監事並邀請期貨公會未來與本會加強合作,於適當時機向期貨業者推廣仲裁。

劉連煜教授則建議本會對金融爭議的通常解決程序進行了解,並擬定適合期貨交易的仲裁示範條款,以增加業者納入契約的意願。

吳永乾理事長5月17日下午由陳世杰秘書長、李天任教授及高雄辦事處羅雪如主任陪同,拜會中國鋼鐵股份有限公司王錫欽總經理,就離岸風電開發及中鋼的原物料採購供應商間的爭議處理機制約定仲裁,廣泛交換意見。

吳理事長表示,本會是國內最具規模、擁有專業會所並有以中英文雙語管理案件的能力、國內唯一有處理涉外仲裁能力的仲裁機構,一流的仲裁人都在本會登錄,合約約定本會為爭議處理機構並無問題。王總經理肯定仲裁對於商務糾紛處理的助益,中鋼集團為建置風電與歐洲廠商議約,深刻體會到外商對合約擬定的慎重及風險控管能力與經驗。

針對中鋼法務處張容綺處長所提離岸風電契約關於爭議處理方式的約定問題,吳理事長也指出,離岸風電開發風場及設備都在臺灣,分包契約中爭議解決條款的仲裁地約定,十分適合選擇臺灣,並約定由本會為爭議處理機構,讓企業無需在國外耗費大量時間及金錢成本處理爭議,同時也能促成該類爭議法律服務的本地化。

On May 2, 2023, Dr. Joe Y. C. Wu, Chairman of the CAA, visited Ms. Page Chen, Chairperson of the Chinese National Futures Association (CNFA), to discuss the advantages of implementing arbitration as a means of resolving disputes in futures trading.

Chairman Wu elaborated on the particular suitability of arbitration for disputes stemming from financial transactions. This preference arises from the intricate nature of these disputes and the urgency for speedy resolution to mitigate potential financial loses for the involved parties. Presently, futures trading contracts between most of the Taiwanese traders and investors, do not incorporate arbitration agreements nor do they explicitly endorse arbitration as a dispute resolution method. Chairman Wu proposed that the CNFA could offer its members with sample arbitration clauses as a point of reference. He also underscored that the CAA, being the oldest and the sole comprehensive arbitral institution in Taiwan with a wealth of experience in case management, is aptly positioned to serve as the arbitral institution designated by the parties. 

While Chairperson Chen of the CNFA concurred with the benefits of arbitration, she noted that most futures trading disputes are presently settled at the Financial Ombudsman Institution due to government policy and existing laws. As a result, many futures traders lack familiarity with the arbitration process. The CNFA anticipated that the CAA will facilitate the understanding of the arbitration process amongst CNFA members, particularly their legal and compliance teams, enabling them to incorporate arbitration clauses into their contracts.

CAA Supervisor Mr. Fong-Fu Chen asserted that the arbitration process is reliable, given the rigorous judicial oversight it is subjected to in Taiwan. Moreover, the CAA's extensive roster of registered arbitrators spanning various professions makes it a superior choice over courts for resolving futures trading disputes. Ms. Chen extended an invitation to the CNFA for a closer collaboration with CAA to advance the cause of arbitration among futures traders.

Professor Len-Yu Liu suggested that in order to enhance the inclination of futures traders towards adopting arbitration, the CAA should investigate standard dispute resolution procedures for financial transactions and draft specialized model arbitration clauses tailored for futures traders.
 
On the afternoon of May 17th, Dr. Joe Y. C. Wu, Chairman of the CAA, accompanied by Secretary-General Dr. Jeffrey S. J. Chen, Professor Tien-Ren Lee, and Director Hsueh-Ju Lo from the CAA Kaohsiung Office, paid a visit to Mr. Shyi-Chin Wang, President of China Steel Corporation (CSC). Their discussion centered around employing arbitration as a dispute resolution mechanism to address offshore wind power development conflicts and disputes arising between CSC and its raw material suppliers.

Chairman Wu asserted that the CAA, being the largest arbitral institution in Taiwan with professionally-equipped hearing venues, is the sole institution capable of offering bilingual case management services and foreign arbitration. He noted that respected arbitrators opt for registration with the CAA Panel of arbitrators, which insure parties are in competent hands when selecting CAA as their arbitral institution. President Wang recognized the merit of arbitration in resolving commercial conflicts and shared that during negotiations with European companies on wind power projects, CSC had admired their prudence in contract drafting, as well as their skills and experience in risk management.

In response to Ms. Rong-Chi Chang, Director of CSC's legal department, who raised a question concerning the seat of arbitration, Chairman Wu clarified that Taiwan is an ideal location if the wind farm and facilities are situated within its jurisdiction. In such instances, companies are encouraged to designate Taiwan as the seat and the CAA as the arbitral institution. This would eliminate the need to invest substantial time and money in resolving disputes overseas. Additionally, this arrangement could facilitate the localization of legal service providers.
